Corporate Development Counsel

About this role

To support corporate headquarters, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, negotiating, and closing transactions, while collaborating closely with senior leadership and various business teams in a remote capacity. Key responsibilities Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies Required qualifications Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar At least 4 years of relevant legal experience with a significant focus on M&A, including drafting and negotiating complex transaction agreements Expertise in all facets of the M&A lifecycle and strong understanding of corporate law, contract law, and securities law Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus Demonstrated ability to apply legal principles pragmatically while understanding business objectives
